    Stepwise Process for Local Office Shift

    Step 1: Board Meeting

    Issue notice to directors per Section 173 and SS-1, approve the new office address, and authorize filing of forms.

    Step 2: Document Preparation

    Prepare rental/lease agreement, latest utility bills (<2 months), and NOC from owner for RoC submission.

    Step 3: File Form INC-22

    File digitally signed e-Form INC-22 with RoC within 30 days, attaching certified copies of Board Resolution and address proofs.

    Step 4: RoC Approval & Post-Filing Compliance

    RoC validates and updates MCA records via STP. Update the new address across statutory records, GST, banks, PAN/TAN, and signboards.

    Requirements for Local Office Change

    Board Approval Mandatory

    The Board must pass a resolution in a meeting as per Section 173 and Secretarial Standard 1 (SS-1).

    No Shareholder Consent Needed

    For local shifts, Section 12(5) does not require shareholder approval.

    Physical Office Requirement

    The new address must be a legitimate office capable of receiving official notices. P.O. Boxes or vacant plots are not allowed.
