Only a natural person who is an Indian citizen (Resident or NRI) is eligible to be the sole shareholder of a One Person Company.
A nominee must be appointed at the time of incorporation. The nominee must be an Indian citizen and provide consent in Form INC-3.
At least one director must be resident in India for a minimum of 182 days during the financial year as per Section 149(3).
The proposed company name must be unique and should compulsorily end with “(OPC) Private Limited”.
