Changing an LLP’s name can occur for several reasons: rebranding, mergers, shifts in business activity, or strategic updates. Since the LLP name appears on the LLP Agreement, PAN, TAN, GST registration, and other official documents, all records must be updated after the change.
Documents Required for LLP Name Change
- Current Certificate of Incorporation
- LLP Agreement in editable Word format
- List of existing Designated Partners & Partners
- Proposed new name(s) in order of preference
- Digital Signature of the authorized Designated Partner
- Company letterheads (approx. 10) and partner rubber stamp
- Original share certificate if applicable

Step-by-Step Process to Change LLP Name
- Step 1 – Partner Approval: All partners must approve the proposed new name in a properly convened meeting, documented and signed.
- Step 2 – Name Availability Request (RUN Application): Submit Form 1 to ROC to reserve the proposed name. Approval is given only if unique.
- Step 3 – Filing for LLP Name Change: File Form 4 with the ROC along with the altered LLP Agreement (Form 3). ROC issues a fresh Certificate of Incorporation with the new name.
