    Process to Increase Authorised Capital

    • Pass an Ordinary Resolution at a General Meeting

    Prerequisites Before Increasing Authorised Capital

    • Active Compliant Status: Company must be 'ACTIVE COMPLIANT' on MCA Master Data. Non-compliant companies must file Form INC-22A first.

    • Board Resolution: Directors approve the increase and fix EGM date with a 7-day notice.
    • Shareholder Approval: Obtain an Ordinary Resolution from shareholders at the EGM.

Step-by-Step Process to Increase Authorised Capital

    Step 1: Preliminary Compliance Check

Verify 'ACTIVE COMPLIANT' status and AOA provisions for capital alteration. Amend AOA via Special Resolution if required.

    Step 2: Board Meeting

Pass a Board Resolution approving the increase and fix the EGM date. Circulate draft minutes and maintain records.

    Step 3: Hold EGM

Send 21-day notice (or 14 days with 95% consent) and pass an Ordinary Resolution. Include detailed explanatory statements.

Step 4: Prepare MOA for e-MOA Filing

Enter the complete MOA digitally in Form SH-7’s e-MOA module. Update Clause V to reflect the new capital structure.

    Step 5: Form SH-7 Filing

Submit the form online with updated MOA, resolutions, and supporting documents.

    Step 6: Sign PDFs

Download Form SH-7 and e-MOA PDFs. Sign each document digitally using DSC.

Step 7: Upload & Generate SRN

Upload signed PDFs individually. Upon validation, the portal generates a Service Request Number (SRN).

Step 8: Payment of ROC Fees & Stamp Duty

Complete online payment of differential ROC fees and state-specific stamp duty.

    Step 9: Post-Approval Compliance

Verify updated capital in Company Master Data and update physical MOA copies as per Section 15.
