    Step-by-Step Process to Convert LLP into Private Limited Company

    No Objection Certificates are required from ROC and all creditors. If no liabilities exist, partners must submit a declaration confirming the same.

    Step 4 – Name Reservation (RUN Form)

    Reserve the company name using RUN service. The LLP name remains the same, only “LLP” is replaced with “Private Limited.”

    Step 5 – Filing Conversion Forms

    File URC-1, SPICe+, e-MOA, e-AOA, and DIR-2 forms with MCA for conversion approval.

    Step 6 – Certificate of Incorporation

    After approval, ROC issues a new Certificate of Incorporation for the Private Limited Company, completing the conversion process.
